Public Procurement Online (PPO) Directory Listing – Standard Terms and Conditions (Diverse Media)

Public Procurement Online (“PPO”) is a product operated by Diverse Media (“Diverse Media”, “we”, “us”). These Terms and Conditions apply to directory listings and related services provided via the PPO website. All contracts and invoices are issued by Diverse Media.

Services

Diverse Media will provide a supplier directory listing for the client on the Public Procurement Online (“PPO”) platform, and any related services, as described in the signed order form (“Package Description”).

Term and renewal

The Services will run from the start to the end dates stated in the order form. Any renewal or extension will be agreed separately in writing (including by email) and may be subject to updated pricing.

Fees and payment

The client will pay the fees stated in the order form. Unless otherwise agreed in writing, invoices are payable within 30 days of the invoice date. Diverse Media may suspend or remove the listing if invoices remain unpaid after the due date. All fees are payable to Diverse Media as stated on the invoice.

Client content, updates and responsibility

The client is responsible for ensuring that all information and content provided for the listing are accurate, lawful and up to date, and that they have the right to use any logos, images or other materials supplied.
The client may request updates to its advert, logo or text at any time during the listing by contacting designteam@diverse-emedia.com. Diverse Media will make such updates within a reasonable timeframe. Diverse Media may decline to publish or may remove any content it reasonably considers inaccurate, unlawful or inappropriate.

Use of logos and information

The client grants Diverse Media a non‑exclusive, royalty‑free licence to use the company name, logo and supplied information for the purposes of providing, maintaining and promoting the listing on Public Procurement Online.

Changes to the Services and platform

Diverse Media may make reasonable changes to the format, layout or functionality of the directory or platform from time to time, provided this does not materially reduce the overall visibility of the client’s listing during the agreed term.

Liability

Diverse Media will provide the services with reasonable care and skill. To the fullest extent permitted by law, Diverse Media is not liable for any loss of profit, loss of business, loss of anticipated savings, or any indirect or consequential loss.
Diverse Media’s total aggregate liability in connection with the Services is limited to the total fees paid by the client under the relevant order form in the 12 months prior to the event giving rise to the claim. Nothing in these terms limits any liability that cannot legally be limited or excluded.

Data protection

Each party will comply with applicable data protection laws in relation to any personal data processed under this agreement. Further information on Diverse Media’s handling of personal data is set out in its Privacy Policy, available on its website.

Cancellation and termination

Unless otherwise stated in the order form, the agreement runs for the full term stated. Early cancellation by the client does not entitle the client to a refund, unless agreed in writing by Diverse Media.
Diverse Media may terminate the services or remove the listing if the client commits a material breach of these terms or fails to pay invoices when due and does not remedy the breach after being notified.

Governing law

These terms, and any dispute arising from them, are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
